Magic Sl Ltd. Management is responsible for ensuring that source and procure products and services from Vendor meets cost, quality, delivery, innovation, and business strategy.

Vendor Agreement

This legally binding VendorAgreement (the “Agreement”) is made effective as of the date the Vendor Signs-up on the Platform (the “Effective Date”). This Agreement is executed by and between Magic Trading SL LTD.(the “Company”) and the Vendor. Each of the COMPANY and the VENDOR shall be referred to individually as a “Party”, and together they may be referred to as the “Parties”.

WHEREAS:

(A) The COMPANY owns an e-commerce marketplace named “Magic Trading SL” (the “Platform”)that caters for Sierra Leone;

(B) The COMPANY makes it accessible for the VENDOR to display and sell their product(s) on the Platform;

(C) The VENDOR confirms that the VENDOR has the necessary skills, licenses, qualifications, expertise, experience, and abilities to sell their product(s) on the Platform;

(D) The COMPANY is agreeable to enable the VENDOR to sell their product(s) on the Platform subject to the terms and conditions set out in this Agreement;

(E) Each Party is duly authorized and capable of entering into this Agreement.

NOW, THEREFORE, for the mutual consideration set forth herein, the adequacy of which is hereby acknowledged, the COMPANY and the VENDOR, intending to be legally bound, hereby agree as follows:

1.     ASSENT AND ACCEPTANCE: By on boarding on the Platform or by signing up on the Platform, the Vendor acknowledges that the Vendor has read, and that the Vendor understands and agrees to comply with and be legally bound by this Agreement including those additional terms and conditions and policies specified by the Company. If the Vendor does not agree to this Agreement, then the Vendor must not onboard on the Platform or sign up on the Platform.

2.     DESCRIPTION OF PRODUCT(S): The Vendor hereby agrees to provide product(s) only pre-authorized by the Company. Unless otherwise expressly stated herein, this Agreement does not confer on the Vendor the right to be the exclusive provider of the Services.

3.     PAYMENT TERMS: For per Vendor order on the Platform, the Company will collect the payment on behalf of the Vendor.The Company will charge 5% (Five Percentage) as Commission for each order on the Platform. The payment amount collected and received by the Company will be paid to the Vendor on a monthly basis to the bank account or any other designated payment mode. All payment transactions between the Vendor and the Company shall be processed in USD. The Vendor’s product prices shall match the existing market rates.

4.     ORDERING OF PRODUCT(S): The Vendor shall upon receipt of the order on the Platform immediately package the product(s) for ensuring the timely delivery as per the delivery timelines specified by the Company. Any delay of more than 3 hours from the Vendor’s end in supplying the product(s) to the Company causes damage to the reputation of the Company. The Vendor shall ensure that the product(s) prepared and packaged are of the specifications ordered and there is no variation whatsoever. The Company expects the Vendor to provide a 1 (one) week return policy to the customer subject to the condition that the product(s) packaging is sealed and not open.

5.     PERFORMANCE STANDARD: The Vendor agrees to sell the product(s)to the satisfaction of the Company and the Customer(s) and with the standard of care and skill of an expert regularly selling the product(s) of the type required by this Agreement, and in conformance with all applicable laws from time to time and the standard operating procedure introduced by the Company from time to time.

6.     DELETION OF LISTING OR ACCOUNT: The Company shall reserve the right to delete the Vendor’s listing on the Platform permanently if the Vendor violates any law, rules, regulations, licensing, or any procedures specified by the Company.

7.     TERM &TERMINATION: This Agreement shall become effective as of the effective date and shall continue in force for a Term of 1 year and may renew automatically unless terminated earlier by the Company. The Company may terminate this Agreement at any time during the Term upon a 30 days prior written notice to the Vendor for reasons including and not limited to poor performance of the Vendor, violation of any applicable laws or regulations or any other reason as the Company may deem fit.

8.      INDEPENDENT CONTRACTOR: The Vendor shall, at all times, remain an independent contractor and nothing in this Agreement shall be construed to create the relationship of employer and employee, principal and agent, partnership or joint venture, or any other fiduciary relationship between the Vendor and Company.

9.      GOVERNING LAW & DISPUTE RESOLUTION: This Agreement shall be governed, construed, and interpreted in accordance with the laws of the Republic of Sierra Leone.If in case, any controversy or conflict, or dispute or claim or issue or difference or question [collectively “Dispute(s)”] of any nature between the parties, arising out of or in connection or in relation to this Agreement, the Parties shall spend at least 15 days to try and use all means to amicably resolve the Dispute(s). In the event of failure to resolve such Dispute(s) through the means specified in the preceding sentence then any such Dispute(s) arising out of or in connection with this Agreement or in relation to the Agreement, including (but not limited to) any question regarding its existence, validity, interpretation, performance, discharge, and applicable remedies, shall be subject to the exclusive jurisdiction of the courts situated in the Republic of Sierra Leone.
